EvenUp Add-In for Word End User License Agreement

The EvenUp Add-In for Word, submitted to Microsoft AppSource / Microsoft Marketplace under the app name “EvenUp,” is an AI-enabled sidebar within Microsoft Word that helps authorized users draft, revise, edit, and ask questions about Word documents and, when connected by the user to an EvenUp case or matter, related case or matter files.

This EvenUp Add-In for Word End User License Agreement (“EULA”) governs access to and use of the EvenUp Add-In for Word made available through Microsoft AppSource, Microsoft Marketplace, Microsoft Word, or other Microsoft distribution channels. The EvenUp Add-In for Word is provided by EvenUp Inc. (“EvenUp,” “we,” “us,” or “our”), not by Microsoft.

By accessing or using the EvenUp Add-In for Word, you agree to this EULA. If your organization has entered into a separate written agreement with EvenUp that governs use of EvenUp’s products or services, including the EvenUp Add-In for Word or related AI-enabled services, that agreement controls in the event of a conflict with this EULA. If no such agreement applies, this EULA governs your use of the EvenUp Add-In for Word.

1. License and Authorized Use

Subject to this EULA and any applicable agreement between EvenUp and your organization, EvenUp grants you a limited, non-exclusive, non-transferable, revocable license to access and use the EvenUp Add-In for Word solely for your organization’s internal business purposes and solely in connection with an authorized EvenUp account.

You may use the EvenUp Add-In for Word only if you are authorized by your organization to do so. You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

2. Customer Content and Matter Files

The EvenUp Add-In for Word may process Word document content, prompts, chat messages, AI-generated outputs, edit actions, and, where you connect the add-in to an EvenUp case or matter, related case and matter files. Case and matter files may include medical records, medical bills, plaintiff information, and other sensitive case materials.

You represent that you have all rights, permissions, and authority necessary to submit, access, use, and process any document content, case files, prompts, instructions, and other information through the EvenUp Add-In for Word.

3. AI Outputs and User Review

The EvenUp Add-In for Word may use artificial intelligence and related technologies to generate suggestions, proposed edits, draft language, answers, summaries, or other outputs. AI-generated outputs may be incomplete, inaccurate, or inappropriate for your intended use.

The add-in may present proposed edits as individual cards for you to accept or reject. Accepted edits may appear directly in your Word document or as native Microsoft Word Track Changes when Track Changes is enabled.

You are responsible for reviewing, validating, and approving all AI-generated outputs and proposed edits before relying on them, inserting them into a document, sending them, filing them, or otherwise using them. The EvenUp Add-In for Word does not replace professional judgment, attorney review, legal analysis, or your organization’s quality-control processes.

4. Privacy and Data Processing

EvenUp’s processing of personal information and customer content through the EvenUp Add-In for Word is described in EvenUp’s Privacy Policy and, where applicable, governed by the agreement between EvenUp and your organization.

By using the EvenUp Add-In for Word, you acknowledge that document content, prompts, chat messages, edit actions, outputs, usage information, and connected case or matter information may be transmitted to and processed by EvenUp and its service providers to provide, maintain, secure, support, and improve the add-in and related EvenUp services.

5. Restrictions

You may not:

  • use the EvenUp Add-In for Word except as authorized by your organization and applicable law;
  • submit information that you are not authorized to process through EvenUp;
  • use the add-in to violate any law, regulation, court order, contractual obligation, ethical obligation, or third-party right;
  • interfere with, disrupt, or attempt to gain unauthorized access to the add-in, EvenUp systems, or Microsoft systems;
  • reverse engineer, decompile, disassemble, copy, modify, or create derivative works of the add-in except to the extent permitted by applicable law;
  • bypass usage limits, access controls, security measures, or technical restrictions; or
  • use the add-in in a way that could compromise the confidentiality, privilege, security, or integrity of customer content, case files, or EvenUp systems.

6. Microsoft and Third-Party Services

The EvenUp Add-In for Word operates within Microsoft Word and may depend on Microsoft services, Microsoft account functionality, Microsoft Word functionality, and other third-party services. Microsoft is not the licensor of the EvenUp Add-In for Word and is not responsible for providing support for the add-in. EvenUp is responsible for the add-in and related support unless otherwise stated in an applicable agreement between EvenUp and your organization.

7. Ownership

EvenUp and its licensors retain all rights, title, and interest in and to the EvenUp Add-In for Word, EvenUp services, software, technology, models, documentation, workflows, user interfaces, and related intellectual property. As between EvenUp and you or your organization, customer content remains subject to the applicable agreement between EvenUp and your organization.

8. Updates and Availability

EvenUp may modify, update, suspend, or discontinue the EvenUp Add-In for Word in accordance with this EULA and any applicable agreement between EvenUp and your organization. Some features may require an active EvenUp subscription, customer account, administrator configuration, or connection to an EvenUp case or matter.

9. Disclaimer

Except as expressly stated in an applicable agreement between EvenUp and your organization, the EvenUp Add-In for Word is provided “as is” and “as available.” To the maximum extent permitted by law, EvenUp disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law and except as otherwise stated in an applicable agreement between EvenUp and your organization, EvenUp will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, loss of goodwill, business interruption, or substitute services arising out of or related to the EvenUp Add-In for Word.

11. Suspension and Termination

EvenUp may suspend or terminate your access to the EvenUp Add-In for Word if EvenUp believes that you have violated this EULA, your organization’s agreement with EvenUp, applicable law, or applicable security requirements, or if suspension is necessary to protect EvenUp, its customers, Microsoft, users, or third parties.

Upon termination of your right to use the add-in, you must stop using and uninstall the add-in. Sections relating to ownership, restrictions, privacy and data processing, disclaimers, limitation of liability, and any provisions that by their nature should survive will survive termination.

12. Changes to this EULA

EvenUp may update this EULA from time to time. Changes will be effective when posted unless a later effective date is stated. Continued use of the EvenUp Add-In for Word after changes become effective constitutes acceptance of the updated EULA, except where prohibited by applicable law or an applicable agreement between EvenUp and your organization.
